1. Agreement to Terms

By accessing or using the services provided by Meerkat AI Labs Pte Ltd (UEN: 202557572R) ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Meerkat AI Labs provides AI-powered sales automation solutions, including but not limited to:

• WhatsApp AI sales agent services (Lisa)
• Business process automation consulting
• Custom AI solution development
• Related software development and management consultancy services

3. User Obligations

You agree to:

• Provide accurate and complete information when engaging our services
• Maintain the confidentiality of any account credentials provided
• Use our services in compliance with all applicable laws and regulations
• Not use our services for any unlawful, harmful, or fraudulent purposes
• Not attempt to reverse engineer, decompile, or disassemble our software

4. Payment Terms

Services are provided subject to the following payment terms:

• Setup Fee: USD $1,000 - $4,000, payable upon service commencement
• Monthly Service Fee: USD $500 - $600, billed monthly in advance
• Payment is due within 7 days of invoice date
• All fees are quoted in United States Dollars (USD)
• Late payments may incur a fee of 1.5% per month or the maximum allowed by law
• Setup fees are non-refundable once work has commenced

5. Service Level and Performance

We strive to provide high-quality AI services with reasonable uptime and performance. However:

• We do not guarantee 100% uptime or error-free operation
• Scheduled maintenance will be communicated in advance when possible
• We reserve the right to modify or discontinue services with reasonable notice
• AI agent responses are automated and may require periodic adjustment and optimization

6. Intellectual Property

All software, code, algorithms, and proprietary technology developed by Meerkat AI Labs remain our exclusive property. Custom configurations and data provided by clients remain the property of the respective clients.

7. Confidentiality and Data Usage

We respect the confidentiality of your business information and will:

• Maintain confidentiality of your proprietary business data
• Use your data only for the purpose of providing agreed services
• Not sell or share your data with third parties without consent
• Implement reasonable security measures to protect your information

8. Limitation of Liability

To the maximum extent permitted by Singapore law:

• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not responsible for losses resulting from third-party services or integrations
• You acknowledge that AI systems may produce unexpected outputs and agree to monitor and review AI-generated communications

9. Termination

Either party may terminate services with 30 days written notice. We may terminate immediately if:

• Payment is overdue by more than 30 days
• You breach these Terms of Service
• You use services for illegal or harmful purposes

Upon termination, you must pay all outstanding fees, and access to our services will be discontinued.

10. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of modified terms.

11. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

12. Indemnification

You agree to indemnify and hold harmless Meerkat AI Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

13. Third-Party Services

Our services may integrate with third-party platforms (including WhatsApp, CRM systems, and payment processors). We are not responsible for the availability, functionality, or policies of third-party services.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Meerkat AI Labs.
